These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or "Consultant") and Paweł Lipiński (NIP PL5792071477), a sole proprietor registered in Poland, with a business address at Rolnicza 8B/7, 82-200 Malbork, the owner and operator of the Systemly platform ("Systemly", "we", "us", "our"). They govern your access to and use of the Systemly platform, websites, and related services (the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
To use the Service you must be at least 18 years old and an active independent Arbonne consultant in good standing. You are responsible for maintaining your status with Arbonne and for complying with Arbonne's policies and procedures. We may suspend or close your account if you no longer meet these requirements.
The Service gives you access to a marketing and customer-management platform, including ready-made funnels, pages, forms, email templates, automations, and related tools. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable licence to access and use the Service for your own Arbonne business while your subscription is active. We may update, change, or discontinue any part of the Service at any time.
You must provide accurate information, keep your login credentials secure, and are responsible for all activity under your account. You must connect and use your own domain and set up your own custom sending email domain for the emails you send through the Service. You are responsible for your account, your contacts, and everything you do with the Service.
Subscription. The Service is offered on a monthly subscription plus any applicable taxes. Your subscription renews automatically each month, and you authorize us to charge your payment method on file until you cancel.
Usage and wallet. Some features, including sending email, are billed based on usage. Usage is drawn from a prepaid balance ("wallet") linked to your account, which tops up automatically from your payment method when it runs low so the Service keeps working. Any credit or allowance included with your plan is shown at checkout. Usage charges are deducted as they are incurred, and applicable taxes on usage are calculated and collected periodically.
Cancellation. You may cancel at any time. Cancellation stops future subscription renewals and takes effect at the end of your current billing period. You keep access until then.
Refunds. All fees are non-refundable, including subscription fees and usage charges, whether or not you used the Service. We do not offer a money-back guarantee. Nothing in this section limits any rights you have under mandatory consumer law in your country.
Failed payments. If a payment fails, we may retry it and may suspend or close your account for non-payment.
You are solely responsible for how you use the Service and for complying with all laws that apply to your business. In particular, you agree that:
You act as the controller of your contacts' personal data, and you are responsible for having your own privacy policy and legal pages.
The Service and all templates, funnels, pages, email copy, designs, and other materials we provide (the "Systemly Content") are owned by us or our licensors and are protected by law. We grant you a limited licence to use and modify the Systemly Content only within the Systemly platform, for your own Arbonne business, while your subscription is active.
You may not copy, reproduce, export, republish, or use the Systemly Content, in whole or in part, outside the Systemly platform, and you may not continue to use it after your subscription ends. Modifying our templates does not transfer ownership to you. Content you create entirely on your own, and your own text, photos, and brand assets, remain yours, and you are responsible for them.
You are solely responsible for all content you publish or send through the Service, including content you build from our templates. We do not review, verify, or endorse your content, and you use all of it, including any copy we provide, at your own risk. You must review everything before you publish or send it, and make sure it is accurate, lawful, and appropriate for your audience. We are not responsible or liable for any claim, loss, or harm arising from your content or your use of the Service.
Systemly is an independent product. It is not affiliated with, endorsed by, or sponsored by Arbonne. We are not responsible for Arbonne's products, product information, pricing, availability, orders, shipping, returns, or customer service, or for any issue between you, your customers, and Arbonne. You are responsible for the accuracy of any Arbonne product information and pricing you publish, and for your relationship with Arbonne and your customers.
The Service relies on third-party infrastructure and services. We are not responsible for the acts, omissions, availability, or content of any third-party service, and your use of them may be subject to their own terms.
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that it will meet your requirements or produce any particular results. We are not responsible if the Service is unavailable, interrupted, or discontinued, or for any loss of data. You are responsible for keeping your own copies of anything important to you.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms. Our total liability for any and all claims arising out of or relating to the Service or these Terms will not exceed the total fees you paid us in the three (3) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including your mandatory consumer rights.
You agree to defend, indemnify, and hold us harmless from any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising out of or related to your content, your use of the Service, your business, your communications with your contacts, or your breach of these Terms, of any law, or of Arbonne's policies.
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, misuse the Service, or lose your eligibility. On termination, your licence to use the Service and the Systemly Content ends immediately, and we may delete your account and data after a reasonable period, subject to law.
We may update these Terms from time to time. The "Last updated" date above reflects the latest version. If we make material changes we will provide notice where appropriate, and your continued use of the Service means you accept the updated Terms.
These Terms are governed by the laws of Poland, and any disputes will be subject to the jurisdiction of the courts competent for our registered seat in Poland. If you use the Service as a consumer, you keep the mandatory protections and rights available to you under the law of your country of residence, and nothing in these Terms removes them.
These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service and replace any earlier agreements on it. If any part of these Terms is found invalid or unenforceable, the rest stay in effect. Our failure to enforce any part is not a waiver of it. You may not assign or transfer these Terms without our consent; we may assign them, for example as part of a sale or reorganization of our business. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
